A Significant Beneficial Owner is an individual with ultimate beneficial ownership in a company — directly or indirectly — above the prescribed threshold (typically 10% of shares, voting rights, or distributable profits). Section 90 of the Companies Act 2013 requires SBOs to be declared to the company via Form BEN-1 and the company to report them to the ROC via Form BEN-2. SBO disclosure is part of India's broader anti-shell-company and anti-money-laundering framework.
