Articles of Association (AOA)

The document setting out the internal governance and management rules of a company.

Definition

The Articles of Association define the internal rules and regulations governing a company — how board meetings are called, how shares are transferred, how directors are appointed and removed, voting procedures, dividend distribution, and other governance matters. Together with the MOA, the AOA forms the charter of the company. The AOA can be amended by special resolution with filing to the ROC.
