# Understanding the Registrar of Companies (ROC)

_Who the ROC is, what they do, and how ROC jurisdiction affects your company_

**Reading time:** 3 min · **Updated:** 2026-10-14

## Key takeaways

- The Registrar of Companies (ROC) is the statutory authority for incorporations and filings under the Companies Act 2013.
- ROC offices and territorial jurisdictions can be reorganised; verify the current office on MCA rather than relying on a fixed office count.
- Every company is assigned to a single ROC based on the location of its registered office.
- The ROC handles incorporation, annual returns, director changes, capital variations, and strike-off proceedings.
- Changing a company's registered office across ROC jurisdictions requires a formal ROC transfer process.

## What the Registrar of Companies does

The Registrar of Companies (ROC) is a statutory authority appointed under the Companies Act 2013 and supervised by the Ministry of Corporate Affairs (MCA). Each ROC is a field office of MCA responsible for administering the registration, compliance, and record-keeping of companies within a defined geographic jurisdiction.

Incorporation and later corporate filings are processed through MCA’s systems and the authorities designated for the relevant application. The company’s official incorporation certificate and current master record are the evidence to retain; a directory page is a research aid, not a substitute certificate.

## Finding the current ROC

The ROC field on a company record identifies its recorded registrar. Office names and territorial jurisdictions can change through government notifications, so an old office list is not a reliable current jurisdiction map. CorpIntel preserves the ROC value in its source record; it does not certify that value as current.

For a filing or registered-office transfer, consult MCA’s current office information and the applicable notification. A state can have multiple registrar jurisdictions. Do not assign an ROC solely from a state name or a diagram copied from an older article.

## Registered-office and jurisdiction changes

An ROC jurisdiction can change following a transfer between registrar jurisdictions within the same state as well as an interstate registered-office transfer. The applicable approval and filing steps depend on the kind of move; a within-state move is not universally a simple internal change.

Use the current master record, registered-office documents and relevant MCA notification or order. A directory’s ROC field does not establish the effective date of a transfer. MCA’s INC-23 instruction kit covers relevant jurisdiction and interstate change applications.

## What the ROC handles over a company's lifetime

Company records can include annual returns, financial statements, appointment and cessation filings, capital alterations and registered-office changes. Different events use different forms and approval routes. A filing index alone does not establish that a proposed change was approved or took effect.

The public master record and the filed document index serve different purposes. Not every detail of every filing appears as a master-data field. Use the actual document for the event being researched.

## Why jurisdiction matters

For a statutory application, establish the authority and jurisdiction applicable to that application from current official instructions. A recorded ROC helps locate records but does not determine every litigation forum, show an office’s enforcement culture or establish where the company trades.

For research, retain the recorded ROC with its source date. If an office has been renamed or reorganised, preserve the historical observation and document the current jurisdiction separately.
